A Form 8-K document submitted to the U.S. Securities and Exchange Commission (SEC) shows that The Company reached and completed an asset sale transaction with R.J. Reynolds Vapor Company, a subsidiary of British American Tobacco (BAT), on April 16th. According to the agreement, Charlie’s sold to R.J. Reynolds 12 PACHA disposable e-cigarette products using synthetic nicotine that had submitted PMTA (Pre-Market Tobacco Product Application) and their related assets.

We checked the announcements of Charlie’s Company and found that on the afternoon of March 4, 2025, it announced that it had received FDA PMTA acceptance applications for 11 types of PACHa-flavored disposable e-cigarettes. Charlie’s pointed out in the announcement that among these 11 PMTA, 10 were in the flavor styles of its best-selling brand PACHA Disposables.
In terms of parameters, all these Pacha Syn 3000 products use synthetic nicotine, with nicotine concentrations of 20mg and 50mg.
